Oceanica Trade supports EU seafood importers through structured supplier qualification and sourcing coordination activities focused on Vietnam seafood processors. These Terms define the nature of that coordination and the responsibilities of each party.

1. Nature of Service

STE Oceanica Trade SARL AU (trading as "Oceanica Trade") provides sourcing coordination and supplier qualification services to B2B clients. Our registered office is in Laâyoune, Morocco; operational activities are conducted from Agadir, Morocco. Our role is limited to procurement coordination, supplier documentation review, specification alignment, and communication support between EU buyers and Vietnam seafood processors.

Important: Oceanica Trade operates independently from suppliers to ensure objective sourcing decisions. Oceanica Trade does not take title to goods, hold inventory, or act as a principal in commercial transactions. All commercial decisions remain the responsibility of the buyer.

This website describes the current operational scope of Oceanica Trade, which may be narrower than its statutory object clause. In the event of any discrepancy between the company's registered statutory objects and the services described herein, the operational scope described in these Terms governs all client-facing engagements.

2. Scope of Coordination Services

Services provided by Oceanica Trade may include:

  • Identification and supplier review of Vietnam seafood processors against buyer-defined sourcing requirements before any engagement
  • Review of EU export eligibility and available documentation (establishment listings, certifications, health certificates)
  • Specification alignment between buyer requirements and confirmed supplier output
  • Supplier communication coordination in English
  • Sourcing intelligence and market monitoring relevant to Vietnam seafood categories

Services are provided on a coordination basis only. The specific scope is confirmed in writing prior to engagement commencement. All sourcing outputs are intended to support internal procurement decisions and do not constitute binding commercial recommendations.

3. Limitation of Liability

All services provided by Oceanica Trade are advisory in nature, based on available verified information and documentation at the time of review. The accuracy or continued validity of third-party documentation falls outside Oceanica Trade's coordination scope.

Oceanica Trade does not guarantee supplier performance, product quality, shipment execution, or regulatory compliance of any supplier presented through its coordination process. Buyers are responsible for independently verifying all supplier information before entering into commercial commitments.

Oceanica Trade's liability in connection with any services provided shall not exceed the fees paid by the client for the specific service giving rise to the claim, to the extent permitted by applicable law.

Oceanica Trade does not certify suppliers, products, or export eligibility, and does not act as a regulatory inspection or conformity assessment body.

4. Client Responsibilities

By engaging Oceanica Trade's services, the client agrees to:

  • Provide accurate and complete procurement requirements, specifications, and timelines
  • Independently verify all supplier documentation and information prior to commercial commitment
  • Ensure compliance with applicable EU import regulations, customs requirements, and product standards
  • Conduct their own due diligence on any supplier before entering into contractual obligations
  • Use coordination outputs for internal procurement purposes only and not redistribute them commercially

5. Confidentiality

Oceanica Trade treats all client procurement requirements, specifications, and commercial information as strictly confidential. This information is used exclusively to deliver the agreed coordination scope and is not shared with third parties beyond what is necessary to perform the service.

Coordination outputs, supplier information, and documentation provided by Oceanica Trade are intended for the client's internal procurement use only. Redistribution, resale, or commercial use of this information is not permitted without prior written consent.

6. Intellectual Property

All coordination outputs, reports, and sourcing intelligence materials produced by Oceanica Trade remain the intellectual property of Oceanica Trade until full payment of applicable fees. Upon payment, the client receives a non-exclusive licence to use the materials for internal procurement purposes.

7. Payment Terms

Service fees, payment schedules, and invoicing terms are agreed in writing prior to commencement of each coordination engagement. Oceanica Trade reserves the right to suspend services in the event of non-payment beyond agreed terms.

8. Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Kingdom of Morocco.

In the event of any dispute arising from or relating to these Terms, the parties shall first seek to resolve the matter through good-faith negotiation for a period of 30 days. If no resolution is reached, the dispute shall be submitted to the competent courts of Morocco.

9. Amendments

Oceanica Trade reserves the right to update these Terms of Service at any time. The date of last revision is indicated at the top of this page. Continued use of our services following any amendment constitutes acceptance of the revised terms.
